Welcome to GP&MAX (the “Company”). These Terms of Service (“Terms”) govern your access to and use of our website and online store (the “Site”) and the services offered through it (collectively, the “Services”). By using the Site, you agree to these Terms and our Privacy Policy (see: /policies/privacy-policy). If you don’t agree, please do not use the Site.

We may update these Terms at any time by posting a revised version on the Site. Your continued use means you accept the current Terms.

1) Who we are

GP&MAX is a premium leather goods brand. Our belts are handcrafted in Italy and fulfilled to U.S. customers from our Florida facility.

2) Eligibility & account

  • You must be at least 13 years old to use the Site. If you are under 18, you may use the Site only with a parent/guardian.

  • You may create an optional account to view orders and save addresses. Keep your login secure and your information accurate and current. You are responsible for activity under your account. Notify us promptly of any unauthorized use.

3) Shopify platform & payments

Our store is hosted by Shopify Inc. Your use of checkout and payments may also be subject to Shopify’s terms and policies. You agree to provide complete and accurate purchase information so we can process your order and contact you as needed.

We reserve the right to: (a) refuse or cancel any order; (b) limit quantities per person/household; and (c) restrict orders that appear to be placed by resellers or distributors. If we change or cancel an order, we may attempt to notify you using the contact details you provided.

4) Products, pricing & availability

We try to display product details (including images, finishes, and colors) as accurately as possible; actual colors may vary by device/screen. Prices and availability are subject to change without notice. We may discontinue any product at any time.

5) Shipping, returns & guarantee

Your purchase is governed by our Shipping Policy and Refund/Return Policy, which are incorporated by reference and available on the Site.

  • Lifetime Craftsmanship Guarantee: defects in materials or workmanship will be repaired or replaced as described on the Site.

Original shipping charges, duties, and taxes may be non-refundable where applicable. For international orders, the recipient is responsible for import duties/taxes.

6) Acceptable use

You agree not to misuse the Site. Prohibited behavior includes, without limitation:

  • Attempting to interfere with Site security or operations;

  • Scraping, mining, or harvesting data without written permission;

  • Posting unlawful, harmful, defamatory, infringing, or misleading content;

  • Uploading malware or engaging in fraudulent or deceptive conduct;

  • Using automated systems (bots) that burden our infrastructure;

  • Violating applicable laws or third-party rights.

We may suspend or terminate access for violations, at our discretion.

7) Ownership & intellectual property

All content on the Site (text, photographs, graphics, logos, videos, page layout, and code) is owned by GP&MAX or our licensors and is protected by intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, distribute, modify, display, perform, or create derivative works from the Site or its content without our prior written consent. All trademarks, service marks, and trade dress are the property of their respective owners.

8) User content & feedback

If you submit reviews, photos, comments, or other materials (“User Content”), you grant GP&MAX a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display such content in connection with the Site, our products, and marketing. You represent that you own or control the rights to your User Content and that it does not infringe others’ rights or violate laws.

9) DMCA & copyright complaints

If you believe content on the Site infringes your copyright, please send a notice including (a) your signature; (b) identification of the work; (c) the allegedly infringing material and its location; (d) your contact info; (e) a good-faith statement; and (f) a statement under penalty of perjury that you are authorized to act, to: support@gpmax-usa.com with subject line “DMCA Notice.” We will respond as required by law.

10) Communications & SMS (optional)

If you opt in to marketing emails or text messages, you consent to receive promotional communications at the email/phone number provided. Message/data rates may apply. Message frequency varies. You can unsubscribe from emails via the link in any email and opt out of SMS by replying STOP (or as otherwise instructed). Consent is not a condition of purchase. 11) Third-party links

The Site may contain links to third-party websites. We are not responsible for their content, policies, or practices. Access them at your own risk.

12) Disclaimers

THE SITE, ITS CONTENT, AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, GP&MAX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses.

13) Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GP&MAX (AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND PARTNERS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SITE, SERVICES, OR PRODUCTS SHALL NOT EXCEED USD $100.

Some jurisdictions do not allow certain limitations; some of the above may not apply to you.

14) Indemnification

You agree to indemnify, defend, and hold harmless GP&MAX and our officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Site or Services; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.

15) Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Upon termination, your rights under these Terms will end immediately, but the following sections will survive: Ownership & IP, Disclaimers, Limitation of Liability, Indemnification, and Governing Law/Dispute Resolution.

16) Governing law & dispute resolution

These Terms and your use of the Site are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. You agree that any dispute or claim arising out of or relating to the Site, Services, products, or these Terms will be resolved exclusively in the state or federal courts located in Florida, and you consent to their personal jurisdiction and venue.

Class Action Waiver. To the fullest extent permitted by law, disputes will be handled on an individual basis; you waive any right to participate in a class or representative action.

(If you prefer binding arbitration instead of courts, say the word and I’ll swap in an AAA/JAMS arbitration clause.)

17) International use

We ship internationally, but we do not represent that the Site or its content are appropriate or available for use in every jurisdiction. You are responsible for complying with local laws where you access the Site.

18) Miscellaneous

These Terms (together with the policies linked or referenced here) are the entire agreement between you and GP&MAX regarding the Site and Services and supersede prior agreements. If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in effect. Our failure to enforce any right is not a waiver.
